This was a really helpful and compact explanation of securities regulation issues. If you are confused, I definitely recommend it. Just keep in mind that rules relating to 504 and 506 are outdated in this version.
Not very helpful for the important regulations that your teacher will ask you about. For example this book doesn’t talk about the specific requirements for regulation S. It just talks about the general idea of the rule, but it’s really not enough to help you with preparing for the exam.
Way more helpful than the textbook by Choi. Very helpful for studying public offerings for my sec reg final.
I purchased this book a few days before finals, and I got an A on my exam. I recommend this book.
